Terms of Service

Last updated: May 12, 2026

The short version

ProperLease is software that helps landlords manage their rental properties. By using it, you agree to use it responsibly, pay for the plan you signed up for, and respect the rights of your tenants. We agree to provide the service as described, keep your data secure, and treat you fairly.

Two things to note up front: (1) ProperLease provides tools, not legal advice. If you have a legal question, talk to a lawyer. (2) The terms below are the binding version. Read them before relying on the service for anything important.

Acceptance

By creating an account, accessing properlease.app, or using any ProperLease feature, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.

If you are using ProperLease on behalf of a business or another entity, you confirm that you have authority to bind that entity to these terms.

Eligibility

You must be at least 18 years old to use ProperLease. By signing up you confirm you have the legal capacity to enter into binding contracts in your jurisdiction.

Your account

You are responsible for keeping your login credentials secure and for everything that happens under your account. Notify us immediately at hello@properlease.app if you suspect unauthorized access.

You agree to provide accurate, current information when you sign up and to keep it up to date.

Plans, billing, and cancellation

ProperLease offers a Free plan and a Premium plan. The Free plan is available indefinitely with the features listed on the pricing page. The Premium plan is a recurring subscription billed monthly or annually at the rates posted on the pricing page (in Canadian dollars unless otherwise noted).

Subscriptions automatically renew at the end of each billing period until cancelled. You can cancel anytime from your Account page. Cancellation takes effect at the end of the current billing period; you continue to have Premium access until then.

Refunds are not offered for partial billing periods. Exceptional refunds (for billing errors, double charges, or service issues attributable to us) are evaluated case by case on written request to hello@properlease.app.

We may change subscription pricing with at least 30 days' notice by email. Price changes take effect on your next renewal date.

Acceptable use

You agree not to use ProperLease to:

  • Violate any applicable law, including residential tenancy laws of your jurisdiction.
  • Discriminate against tenants or prospective tenants in ways prohibited by law.
  • Upload content you do not have the right to share, including third-party documents you do not own.
  • Attempt to access another user's account, properties, or tenant data.
  • Reverse-engineer, scrape, or otherwise abuse the service.
  • Send unsolicited commercial communications using tools provided by the service.

We reserve the right to suspend or terminate accounts that violate these rules, with notice where practical.

Tenant data and your role as a controller

When you upload information about your tenants (names, contact details, government IDs, lease documents, condition reports, and so on), you are acting as the data controller for that information under applicable privacy law. ProperLease processes it on your behalf as a data processor.

By using the service to process tenant data, you confirm that:

  • You have a lawful basis to collect and store the information.
  • You have informed your tenants about how their data will be used, where it will be stored, and their rights with respect to it.
  • You will respond promptly to any tenant request to access, correct, or delete their information.
  • You are responsible for the security of any data you export from ProperLease (CSV files, downloaded PDFs, screenshots).

We will assist with tenant data requests directed to us, but our default response will be to refer the requesting tenant back to you as the controller.

Lease and notice generation: not legal advice

ProperLease's lease generator works in two different ways. For the Canadian provinces where the province publishes a mandatory lease form, it renders that official form and pre-fills it with the data you provide; we do not draft the content of those forms. For US states, no equivalent government lease form exists, so ProperLease composes a standard residential lease written against that state's landlord-tenant statute and including the disclosures that state requires. That document is ours, not the state's, and it is not an official or government-issued form.

ProperLease's notice templates are different. They are our own generic wording, pre-filled from your records in the same way. They name your jurisdiction, but they are not the statutory form that a tribunal, board, or housing authority publishes and requires for a formal step such as an Ontario N4. Where a statutory form is required, you must obtain it from the body that issues it and serve it the way that body requires. We do not advise on whether any particular clause, term, or notice is appropriate for your situation.

The documents ProperLease generates are not legal advice. We are not a law firm. We do not represent you. We do not guarantee that any generated document will be enforceable, will satisfy your specific obligations, or will be accepted by any tribunal or court.

Before relying on a ProperLease-generated lease or notice in a binding situation, you should have it reviewed by a lawyer licensed in your jurisdiction. We strongly recommend keeping your lawyer's contact information on file for any non-routine situation, including evictions, disputed deposits, and major repairs.

Intellectual property

ProperLease (including its name, logo, design, and software) is owned by us and protected by copyright, trademark, and other laws. You may not copy, modify, redistribute, or reverse-engineer any part of the service.

You retain ownership of everything you upload to ProperLease (tenant data, lease documents, condition photos, and so on). You grant us a limited license to host, process, and display that content solely as needed to operate the service for you.

Service provided as-is

ProperLease is provided on an "as is" and "as available" basis. We work hard to keep it running and accurate, but we do not warrant that the service will be uninterrupted, free of bugs, or fit for any particular purpose. To the maximum extent permitted by law, we disclaim all implied warranties.

Limitation of liability

To the maximum extent permitted by applicable law, ProperLease and its officers, employees, and contractors are not liable to you for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the service, including (without limitation) lost rent, lost profits, legal costs, or damages awarded against you in a tenancy dispute.

Our total aggregate liability for any direct damages is limited to the amount you paid us in the 12 months preceding the claim. Some jurisdictions do not allow these limitations, in which case the limitations apply only to the extent permitted.

Indemnification

You agree to indemnify and hold ProperLease harmless from claims, damages, or expenses (including reasonable legal fees) arising out of: (a) your breach of these terms, (b) your violation of applicable law, including residential tenancy or privacy law, (c) any dispute between you and a tenant or other third party, or (d) information you uploaded to the service that infringed someone else's rights.

Termination

You may stop using ProperLease at any time. You can delete your account from the Account page; deletion takes effect immediately, with the data-handling consequences described in our Privacy Policy.

We may suspend or terminate your account if you breach these terms, if continued service would expose us to legal risk, or if we discontinue the service. We will give reasonable notice where practical and refund any prepaid subscription amount covering periods after termination, except where termination is for cause.

Governing law and disputes

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising out of or related to these terms or your use of ProperLease will be resolved in the courts of Ontario, and you consent to their jurisdiction.

Before initiating any formal proceeding, please contact us at hello@properlease.app to attempt a good-faith resolution. Most issues can be sorted out without lawyers.

Changes to these terms

We may update these terms over time. If we make material changes, we will notify you by email (if you have an account) and post a notice on the site at least 30 days before the change takes effect. Continued use of ProperLease after a change indicates that you accept the revised terms.
